New Company Registrations

In terms of the Companies Act, 2008, a company may be registered with or without a company name. When a company is registered without a reserved name, its registration number automatically becomes the company name. This is the quickest way to register a company.

Such a company may transact with a trading (business) name, or may apply to add a reserved name at a later stage. In this case, the company will need to first reserve a name and then apply for a name change, which constitutes a change to its Memorandum of Incorporation (MOI) (refer to  Maintain a Business).

There are five types of companies that you can register.  If you wish to run a franchise business, you would register a private company.  If you wish to register a church, you would register a non-profit company.  A private school could be registered as a private company or non-profit company, depending on its objectives.  An association of professionals such as lawyers, doctors, civil engineers etc, may be registered as a personal liability company. 

CIPC registers Companies and Co-operatives. It is not necessary for all businesses to formalise by registering with the CIPC. For some businesses, such as informal businesses and sole proprietors, there may not be sufficient benefits.

Businesses that wish to transact with government and the formal sector, or that wish to access certain types of government support, are generally required to be registered with the CIPC. For these businesses, there may also be tax benefits to registration, as registered businesses have a lower tax rate than individuals. Even though you may not be registered with the CIPC, you will still have to be registered with the South African Revenue Services and will still be liable for tax if your turnover exceeds the prescribed threshold.

Registering a business is simple and inexpensive if you follow the steps outlined on CIPC website, the first step being registered as a CIPC customer. RKH Accounting is registered as a Customer with CIPC. We assist by going through the whole process for you. However, it brings with it certain responsibilities, irrespective of whether the business is trading. For example, you will need to file an annual return and pay an annual fee.

A private company is the most common and simplest form of company to be registered. It is comparable to a close corporation. Close corporations are no longer registered.

Private Companies may not offer shares to the public and restrictions are also placed on the transferability of their shares. Private companies must have at least one director and one incorporator. The director and incorporator may be the same person. The word “person” includes a juristic entity. This means that a legal entity or a trust may be an incorporator of a new company.  Most private companies are owner managed and tend to have a smaller number of directors.

All companies must have a Memorandum of Incorporation (MOI) which sets out the rules agreed by the shareholders for the management and maintenance of the business. Private companies may be registered with a standard or a customised MOI. The standard MOI is provided by law and is integrated into the company registration process (click here to preview a standard MOI). A customised or non-standard MOI allows shareholders to impose certain conditions or waive certain requirements, such as an audit requirement. Such MOIs must be attached to the applications and may require the assistance of a legally qualified person or someone with company secretarial knowledge. At present, private companies with customised MOIs can only be registered manually.

A Private Company with a standard MOI may be registered on-line on CIPC’s website, at a self-service terminal or through a registered Customer such as RKH Accounting.

Vat Registration

If your company has an annual turnover of more the R 1 mil you are obliged to register for VAT. You may also consider voluntary registration for VAT if you have an annual turnover of more than R 50 000, or if your suppliers require you to be VAT registered. You will have to submit returns to SARS.

You will need the following documentation:

  • Company registration documents
  • Letter from the bank confirming banking details - not older than 3 months
  • last 3 months bank statements stamped by the bank
  • Invoices to the value of R 50 000 not older than 3 months
  • Certified copies of directors identity documents
  • Proof of residence for the company - not older than 3 months
  • Proof of residence for directors - not older than 3 months
  • All tax affairs should be up to date for company and directors, as if this is not it will delay the process.  This include company income tax, provisional returns, PAYE submissions, Employee reconsiliations.  We can assist you with these matters.

Turn around time for VAT registration is minimum 2 weeks to maximum 6 weeks, however process might take longer.

PAYE Registration

All companies who employ staff are obliged to register for PAYE and should be submitting monthly returns.

What you will need to Register a Company

Name Choices

The first thing you need to do for business registration is to start to think of possible names.
Points to note are

  • Think of four possible names, all different from each other.
  • Avoid punctuation as most characters such as @,!, and even an apostrophe are not allowed
  • Check the spelling in an English dictionary. It costs to change it later.
  • If your name is close to another well-known brand, reject it now, it’s not worth the trial trying to fight for the rights of using it.

Director and Shareholder Information                                                    

Choosing who is going to be in partnership with you is probably one of the biggest decisions that any business owner needs to make during the process of company registration. A Director managers the business and a shareholder owns it. You will probably be both a director and a shareholder. However if you are in partnership then you may have more directors and shareholders.

You will need all their information such as Residential, Business and Postal addresses and cell phone numbers, as well as a good digital copy of their ID's on your computer. This you can do later, but without them we can not complete your company registration.

A Printer

You will need a printer attached to your computer. This is often overlooked, however you will have to sign a document (called a power of attorney) that gives us the right to register your company on your behalf. This will need to be printed and faxes or emailed to us.

Time

Although our competition boasts times that we believe are designed to mislead their clients, we know that a company registration usually takes about three weeks. We statistically analyse the speed of company registration and can usually predict the date of the arrival to a few days for your convenience. Although shelf companies are available they are not economical due to cost and time and therefore not advised. Please note this time is only affective from the date we have received all required documentation and full payment.
